Our website and all related event platforms, ticketing pages, registration tools, and digital experiences (collectively, the “Site”), including ticketing pages hosted via third parties such as Lu.ma.

1. Acceptance and Scope

This Site and the Programs are operated by SEMI PERMANENT, a portfolio brand of YES AND 合同会社 (表記：「 yes, 」 / yes, and… G.K.) (“we,” “our,” or “us”).

These Terms & Conditions (“Terms”) apply to all programs, events, and experiences curated, hosted, or produced by us, whether ticketed or non-ticketed, invitation-only or public, physical or digital, including without limitation:

• Tokyo Salone
• Moments
• Nourish
• Midnight Shakedown
• Speculative Futures
• Friends Of
• Future Of
• Thirdspace Thirdweeks, Tokyo Salone with Soho House Tokyo
• Private dinners, salons, partner events, satellite programs, research sessions, and online events

By accessing the Site, registering, purchasing a ticket, accepting an invitation, attending, participating in, or otherwise engaging with any Program, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you do not agree, you must not participate.

2. Eligibility and Age Requirements

Our Programs are intended for a professional, cultural, and creative audience. Attendance is generally for adults.

Where alcohol is served or bar access is provided, Japan’s legal drinking age (20 years old) applies strictly. We reserve the right to:

• Request valid government-issued identification
• Restrict access to certain areas or Programs based on age
• Refuse entry or service where legal requirements are not met

3. Invitations, Registration, and Tickets

Participation may require one or more of the following:

• Ticket purchase
• Advance registration
• Invitation and acceptance
• Waitlist confirmation or approval

All registrations are subject to availability and our discretion. You are responsible for reviewing event details, eligibility, venue information, timing, pricing, and conditions before registering.

Unless expressly stated otherwise:

• Tickets, invitations, and registrations are non-transferable
• Entry may be subject to identity verification
• Access may be revoked at our discretion (including for safety or policy reasons)

4. Pricing and Taxes

Prices are displayed on the relevant product, ticket, or registration page.

• Currency: JPY (Japanese Yen) and/or USD (United States Dollar), as indicated
• Consumption tax: included where required by law, unless stated otherwise
• Pricing and availability may change, but will not affect completed purchases

5. Payment

Accepted payment methods are shown at checkout. Payments are generally made by credit card or other authorized payment methods.

• Payment is processed at the time of purchase (or at the time specified on the checkout page).
• Unless required by applicable law or expressly stated in these Terms, all payments are final.
• If payment is not successfully received, we may cancel or void the registration or ticket.

6. Payment Processing and Additional Fees

Payments may be processed by third-party payment processors (including Stripe and/or other providers).

• Processing is subject to the payment processor’s terms and privacy policy in addition to these Terms.
• We are not responsible for errors, chargebacks, currency conversion costs, bank fees, or other fees imposed by third parties.
• Where third-party fees apply, they may be borne by the purchaser to the extent permitted by law and disclosed at checkout or by the payment provider.

7. Physical Products, Delivery, and Returns

Where we sell physical products (for example, books, printed matter, objects, or merchandise), the following applies unless a specific product page states otherwise.

7.1 Delivery Timing

• Orders are typically processed within 3–5 business days.
• Estimated delivery is typically 14–30 days depending on destination, customs, and carrier conditions.
• Delivery timelines are estimates, not guarantees.

7.2 Returns and Exchanges

• All sales are final. Returns and exchanges are generally not accepted.
• For defective items or fulfillment errors, please contact support@semipermanent.com within 5 business days of receipt.
• Opened items may not be returnable. Where an exchange is approved and inventory is available, replacement shipping costs may be borne by the customer.

8. Program Changes, Cancellation, and Force Majeure

Programs, speakers, venues, schedules, and formats may change. We reserve the right to modify, reschedule, relocate, convert to digital, or cancel any Program.

If cancellation or material disruption occurs due to force majeure or circumstances beyond our reasonable control, including but not limited to:

• Regulatory restrictions or government action
• Natural disasters, including earthquakes, typhoons, flooding, or volcanic activity
• Pandemic or public health emergencies
• War or severe regional instability materially affecting Japan or inbound travel
• Venue governance decisions or venue unavailability
• Major infrastructure disruptions

we may offer, at our discretion and to the extent permitted by law:

• Ticket transfer to a rescheduled date
• Credit toward a future Program
• Digital access alternative
• Refund (in whole or in part)

We are not responsible for travel, accommodation, or other incidental expenses.

9. Conduct, Safety, and Removal

All Participants must comply with our Code of Conduct (where published), venue rules, safety instructions, and reasonable directions from staff.

We maintain a zero-tolerance policy for harassment, discrimination, intimidation, abuse, or behavior that compromises safety or dignity.

We reserve the right, without refund or compensation, to refuse entry or remove any Participant whose conduct we deem inappropriate, unsafe, disruptive, or inconsistent with the spirit of our Programs.

10. Assumption of Risk

By attending or participating, you acknowledge that Programs may involve inherent risks, including but not limited to:

• Food consumption, allergens, fermentation, and alcohol
• Late-night programming
• Travel between venues
• Crowds, sound, lighting, and environmental conditions
• Physical activity or proximity to equipment or demonstrations
• Natural disasters common to Japan

You voluntarily assume such risks to the fullest extent permitted by law.

11. Media, Photography, and Recording

Attendance may involve photography, filming, and recording by us or our partners.

Unless you notify us in writing in advance where feasible, you grant us permission to use such materials worldwide for editorial, promotional, archival, and commercial purposes, without additional compensation, to the extent permitted by law.

Unauthorized recording, live streaming, or redistribution of Program content is strictly prohibited.

12. Intellectual Property

All content produced by us, including Program design, materials, recordings, branding, and documentation, remains our intellectual property (or the intellectual property of our speakers/partners as applicable).

You may not reproduce, distribute, record, publish, or commercially exploit such content without prior written consent.

13. Third-Party Venues and Partners

Programs may take place at or involve third-party venues and partners (including, without limitation, Soho House Tokyo, Midori.so, Mirai Institute–operated locations, restaurants, hotels, and cultural spaces).

We are not responsible for the acts, omissions, or services of third parties. Their terms and house rules may apply in addition to these Terms.

14. Limitation of Liability and Indemnity

To the maximum extent permitted by law:

• Our total liability related to a Program is limited to the amount you paid for the relevant ticket or product, or ¥10,000 JPY where no fee was paid.
• We are not liable for indirect, incidental, special, consequential, or punitive damages.
• You agree to defend, indemnify, and hold us harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, unlawful acts, or misconduct.

Nothing in these Terms limits liability that cannot be limited under applicable law.

15. Privacy

We collect and use personal information in accordance with our Privacy Policy. Participation may involve data sharing with venues, partners, and service providers, including those located outside Japan, as needed to operate Programs.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes arising out of or relating to these Terms or the Programs shall be subject to the exclusive jurisdiction of the Tokyo District Court, unless otherwise required by applicable law.

17. General

• If any provision is found unenforceable, the remainder remains in effect.
• These Terms constitute the entire agreement between you and us regarding the Programs, unless superseded by a written agreement signed by us.
• We may update these Terms from time to time by posting the revised version on the Site. Continued participation after updates constitutes acceptance.

第1条　同意および適用範囲

本サイトおよび各種プログラムは、YES AND 合同会社（表記：「 yes, 」 / yes, and… G.K.）（以下「当社」）が運営します。

本利用規約（以下「本規約」）は、当社が企画・主催・制作するすべてのプログラムおよびイベントに適用されます。対面・オンライン、有料・無料、招待制・一般公開を問いません。

対象プログラムには以下を含みますが、これらに限定されません。

• Moments
• Nourish
• Midnight Shakedown
• Speculative Futures
• Friends Of
• Future Of
• Thirdspace Thirdweeks Tokyo Salone with Soho House Tokyo
• プライベートディナー、サロン、パートナーイベント、サテライトプログラム、リサーチセッション、オンラインイベント 等

本サイトの利用、登録、チケット購入、招待の受諾、参加、その他一切の関与をもって、本規約およびプライバシーポリシーに同意したものとみなします。

同意されない場合は、参加をお控えください。

第2条　参加資格および年齢制限

本プログラムは主にプロフェッショナル、文化関係者、クリエイティブ領域の参加者を想定しています。

アルコール提供を伴う場合、日本の法定飲酒年齢である20歳未満の方の飲酒は禁止されます。

当社は以下の権利を有します。

• 公的身分証明書の提示を求めること
• 年齢に応じて一部エリアへの立入を制限すること
• 法令に適合しない場合、入場またはサービス提供を拒否すること

第3条　招待・登録・チケット

参加には以下が必要となる場合があります。

• チケット購入
• 事前登録
• 招待および承認
• ウェイトリスト確定

登録および参加は定員および当社の裁量により決定されます。

特段の明示がない限り、

• チケットおよび招待は譲渡不可
• 本人確認を求める場合あり
• 当社の判断により参加資格を取消す場合あり

第4条　価格および税金

価格は各販売ページに表示されます。

• 通貨：JPY または USD
• 消費税：法令に従い表示価格に含まれる場合があります
• 価格は予告なく変更される場合がありますが、既に完了した購入には影響しません

第5条　支払い

支払い方法は購入画面に表示されます。

• 支払いは購入時に即時決済されます
• 法令上必要な場合を除き、支払い後の返金は原則行いません
• 支払いが確認できない場合、登録または参加資格を取消す場合があります

第6条　決済処理および追加手数料

決済はStripe等の第三者決済事業者を通じて行われる場合があります。

• 決済は当該事業者の利用規約およびプライバシーポリシーにも従います
• 為替差損、銀行手数料、チャージバック等について当社は責任を負いません
• 法令の範囲内で、第三者手数料は購入者負担となる場合があります

第7条　物販・配送・返品

物品販売がある場合、以下が適用されます。

7.1 配送時期

• 通常3〜5営業日以内に発送
• 到着目安は14〜30日
• 配送日は保証されるものではありません

7.2 返品・交換

• 原則として返品・交換不可
• 初期不良の場合は受領後5営業日以内にご連絡ください
• 在庫がある場合のみ交換対応
• 交換時の送料は購入者負担となる場合があります

第8条　変更・中止・不可抗力

当社は、プログラム内容、登壇者、会場、日程、形式を変更する権利を有します。

以下を含む不可抗力により開催が困難となった場合、

• 政府規制・行政措置
• 地震、台風、洪水、火山活動等の自然災害
• パンデミック
• 戦争や大規模不安定要因
• 会場都合

当社の裁量により以下の対応を行う場合があります。

• 日程振替
• クレジット付与
• オンライン代替
• 返金

旅費・宿泊費等の補償は行いません。

第9条　行動規範・退場

参加者は当社の行動規範および会場規則を遵守するものとします。

ハラスメント、差別、威圧、妨害行為は禁止します。

当社は、問題行為があると判断した場合、返金なく退場措置を取ることができます。

第10条　危険負担の同意

参加者は以下を含むリスクを理解し、自己責任で参加するものとします。

• 飲食・アレルギー
• 夜間プログラム
• 会場間移動
• 混雑・音響・照明
• 機材周辺
• 日本における自然災害

第11条　写真・映像

参加により、当社およびパートナーによる撮影・録画に同意したものとみなします。

当該素材は、編集・広報・記録・商業目的で無償使用される場合があります。

無断撮影・配信は禁止します。

第12条　知的財産

プログラムに関するコンテンツおよび構成は当社または権利者に帰属します。

無断転載、複製、配布、商業利用を禁止します。

第13条　第三者会場・パートナー

イベントは第三者会場（例：Soho House Tokyo 等）で開催される場合があります。

当社は第三者の行為について責任を負いません。

当該施設の規約も適用されます。

第14条　免責および補償

法令の範囲内で、

• 当社の責任は当該チケット購入額を上限とします
• 無料参加の場合は上限1万円
• 間接損害・特別損害について責任を負いません
• 参加者は本規約違反により生じた損害を補償するものとします

第15条　個人情報

個人情報は当社プライバシーポリシーに基づき取り扱います。

海外事業者とデータ共有する場合があります。

第16条　準拠法・管轄

本規約は日本法に準拠します。

紛争は東京地方裁判所を専属的合意管轄裁判所とします。

第17条　一般条項

• 一部条項が無効でも他条項は有効
• 本規約は完全合意を構成
• 当社は随時改訂できるものとします
